These Terms of Service ("Terms") form a legal agreement between you and Faro ("Faro," "we," "us," or "our") regarding your access to and use of our website, application, and related services (collectively, the "Services"). By using the Services, you agree to these Terms.

1. Eligibility and Account

You must be legally capable of entering into a binding agreement to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. Use of the Services

Subject to these Terms, Faro grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Services for your internal business purposes.

You agree not to:

• Use the Services in violation of applicable law.
• Interfere with or disrupt the integrity or performance of the Services.
• Attempt to gain unauthorized access to systems or data related to Faro.
• Reverse engineer, decompile, or attempt to extract source code except as allowed by law.
• Use the Services to store or transmit malicious code or abusive content.

3. Customer Data

You retain ownership of data, files, and content you submit to the Services ("Customer Data"). You grant Faro a limited license to host, process, transmit, and display Customer Data solely to provide, maintain, and improve the Services and to comply with law.

You are responsible for ensuring you have all rights and permissions required to provide Customer Data to Faro.

Faro's internal administrators may access your organization and its data without prior notice or consent for the purpose of troubleshooting technical issues, investigating bugs, or providing support. Such access is limited to what is necessary to resolve the issue and is subject to our Privacy Policy.

4. Intellectual Property

Faro and its licensors own all rights, title, and interest in the Services, including software, interfaces, branding, and related intellectual property, excluding Customer Data.

5. Third-Party Services

The Services may integrate with or rely on third-party services. Faro is not responsible for third-party services, and your use of those services may be subject to separate terms.

6. Fees, Billing, and Trials

Paid features require payment of applicable fees. By subscribing, you authorize Faro (or its payment processor) to charge your chosen payment method. Unless otherwise stated, subscriptions renew automatically until canceled.

Trial access, promotional pricing, and refunds are offered at our discretion or as otherwise stated in an applicable order form or plan terms.

7. Refund Policy

Unless otherwise required by law or stated in a written order form, all fees are non-refundable.

If Faro offers a refund window for a specific plan or promotion, refund requests must be submitted within that stated period to [email protected].

Refunds, when approved, are issued to the original payment method and may exclude taxes, third-party fees, and amounts for Services already delivered.

8. Suspension and Termination

We may suspend or terminate access to the Services if you violate these Terms, create risk or harm to Faro or others, or where required by law. You may stop using the Services at any time.

9. Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, Faro disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Competitive intelligence outputs may include third-party information and automated analyses, which may be incomplete or inaccurate. You are responsible for independent business decisions.

10. Limitation of Liability

To the maximum extent permitted by law, Faro will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, data, or goodwill, arising from or related to your use of the Services.

Faro's aggregate liability for claims arising out of or relating to the Services will not exceed the amounts paid by you to Faro for the Services in the 12 months preceding the event giving rise to liability.

11. Indemnification

You agree to defend, indemnify, and hold harmless Faro and its affiliates, officers, directors, employees, and agents from claims, damages, liabilities, and expenses arising from your use of the Services, your Customer Data, or your violation of these Terms.

12. Governing Law

These Terms are governed by applicable laws without regard to conflict of laws principles. Jurisdiction and venue will be in courts of competent jurisdiction as required by applicable law, unless otherwise agreed in writing.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will post the updated Terms with a revised effective date. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
